License Application Procedure

If you want to submit a license application to the Hong Kong Securities Regulatory Commission, in addition to completing the relevant application form, the applicant also needs to submit other materials to the Securities Regulatory Commission when making the application, including business plan, operation and compliance manual, contingency plan and others Supplementary documents, etc. for the SFC to consider whether the operator is suitable to carry on the regulated activity.

 

In addition, the China Securities Regulatory Commission will also require applicants to submit personal information about the company's organizational structure, shareholding structure, company directors and shareholders, etc., in order to understand the company's background and use it as an important consideration for approval. On the other hand, the SFC will also require the latest audited financial statements submitted by the applicant's holding company to understand its financial status.

 

When submitting the company license application documents, the applicant must simultaneously submit the application for 2 responsible officers for each type of regulated activity application, and one of them must be an executive director. Whether an individual practitioner is qualified to serve as a responsible officer can refer to the "Guidelines for Suitable Persons" and "Guidelines for Competence". Whether the applicant has sufficient experience in running the business and its proven management experience.

 

The SFC will generally issue an application processing notice to the applicant after receiving the documents and checking that there are no major omissions to show that the application is being processed. Afterwards, the SFC will review the documents and materials submitted by the applicant and report to the applicant Make inquiries, request explanations, explain the content of the information and respond to the issues raised by them within the specified time limit and submit supplementary documents. The license application will not be approved by the SFC until all questions raised by the SFC have been answered and all supplementary information has been submitted as required.
